TERMS OF SERVICE

FREESTYLE FREELANCE LLC

FREESTYLE FREELANCE LLC (“Company,” “we,” “us,” or “our”) provides AI-powered automation systems, digital infrastructure, CRM configuration, conversational AI agents, workflow architecture, consulting, and related technology services under its brand offerings, including Freestyle Agency AI.

By accessing or purchasing our services, you (“Client,” “you,” or “your”) agree to these Terms of Service.

If you do not agree, you may not use our services.

1. Scope of Services

The Company provides technology-based services including but not limited to:

• AI conversational agents
• CRM system configuration
• Workflow and automation architecture
• Lead management systems
• Appointment scheduling integrations
• Business process automation
• Consulting and strategic advisory
• Subscription-based software access
• Custom AI infrastructure builds

Services may be delivered through tiered offerings, enterprise agreements, consulting retainers, or custom proposals.

We reserve the right to modify, expand, discontinue, or introduce new services at our discretion.

2. Service Tiers & Evolving Offerings

The Company offers services through tiered packages, subscription models, custom builds, consulting engagements, and future service expansions.

Client acknowledges that:

• Service tiers may vary in scope, access, features, and pricing
• The Company may introduce new tiers, restructure offerings, or modify service components
• Marketing descriptions do not override these Terms
• Specific deliverables are governed by the applicable invoice, proposal, or order confirmation

Any reference to a specific package, level, or tier does not limit the applicability of these Terms to future offerings.

All services, present and future, fall under this Agreement unless otherwise agreed in writing.

3. Payment Terms

Build Fees & Initiation

• A non-refundable down payment is required before initiation of any build or custom configuration.
• Work will not begin until payment is received and cleared.
• Full payment of build fees is required before system activation, deployment, or transfer of access credentials.

Subscription Services

• Subscription fees are billed in advance.
• Subscription fees are non-refundable once access is granted or infrastructure is deployed.
• Failure to remit payment may result in immediate suspension of services without liability to the Company.

Chargebacks & Payment Disputes

Client agrees not to initiate chargebacks without first attempting resolution with the Company.

Unauthorized chargebacks constitute breach of contract and may result in collections action or legal remedies.

4. No Performance Guarantees

The Company provides technology infrastructure and automation tools.

We do not guarantee:

• Revenue generation
• Lead volume
• Conversion outcomes
• Advertising performance
• Business growth
• Uninterrupted uptime

All results depend on market conditions, user input, advertising strategy, third-party systems, and Client implementation.

5. AI Output Disclaimer

AI-generated responses, workflows, and automated systems are provided “as is” and without warranties of any kind.

Client acknowledges:

• AI systems may produce inaccurate or unintended outputs
• Automation may require ongoing supervision
• System behavior may vary due to model updates or external platform changes

FREESTYLE FREELANCE LLC shall not be liable for:

• Lost revenue
• Missed leads
• Reputational damage
• Miscommunication caused by automated systems
• Errors in AI-generated content

Client is responsible for oversight and monitoring of all deployed systems.

6. Client Compliance Responsibility

Client is solely responsible for ensuring compliance with:

• Federal, state, and local laws
• Industry regulations
• Advertising standards
• Data protection laws
• Industry-specific requirements (including healthcare, finance, or regulated industries)

The Company does not provide legal advice.

7. Third-Party Platform Dependency

Services rely on third-party providers including but not limited to:

• CRM platforms
• SMS gateways
• Email delivery systems
• Cloud infrastructure
• AI model providers

The Company is not liable for:

• Platform outages
• API disruptions
• Service interruptions
• Data loss caused by third-party systems
• Provider policy changes

8. Intellectual Property & License

All proprietary systems remain the exclusive property of FREESTYLE FREELANCE LLC, including:

• Automation architecture
• Workflow logic
• Prompt engineering frameworks
• Conversation design structures
• Strategic models
• Training systems
• Documentation and internal processes

Client receives a limited, revocable, non-transferable license to use deployed systems during active subscription.

Client may not:

• Reverse engineer systems
• Copy automation frameworks
• Replicate architecture for resale
• White-label proprietary systems without written authorization
• Extract workflows for use outside contracted services

Termination may result in revocation of access.

9. Indemnification

Client agrees to indemnify, defend, and hold harmless FREESTYLE FREELANCE LLC from any claims, damages, liabilities, losses, or expenses arising from:

• Client misuse of services
• Regulatory violations
• Marketing misrepresentations
• Improper use of AI systems
• Breach of these Terms

10. Limitation of Liability

To the fullest extent permitted by law:

Total liability of FREESTYLE FREELANCE LLC shall not exceed the total amount paid by Client in the three months preceding the claim.

The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages.

11. Arbitration & Dispute Resolution

Any dispute arising under this Agreement shall be resolved through binding arbitration in the State of operation of the Company.

Client waives the right to jury trial and class action participation.

12. Force Majeure

The Company shall not be liable for delays or failure to perform due to causes beyond reasonable control, including:

• Natural disasters
• Government actions
• Internet outages
• Third-party system failures
• Acts of war or terrorism

13. Contractor Protection

Client agrees not to directly solicit, hire, or contract with any contractor, employee, or subcontractor of the Company during the term of service and for 12 months thereafter without written consent.

14. Modifications

The Company may update these Terms at any time. Continued use of services constitutes acceptance.
